Terms Of Service
These Terms of Use (the “Terms”) set forth the rights and obligations governing your use of the services (the “Service(s)”) offered by Look At Life LLC (“Look At Life”) on LookAtLife.com (the “Site”). Please read these Terms carefully. If you do not agree to these Terms, you may not use our Services.
All “Users” of our Service agree to be bound by all of these Terms. The term User means both “Visitors” (those who simply browse the Site) and “Members” (those who have registered with the Site). Look At Life is also referred to in these Terms as “we,” “our,” and “us.” Users, both Members and Visitors, are also referred to in these Terms as “you.”
1. Availability
This Service is provided by Look At Life on an “AS IS” and “AS AVAILABLE” basis and Look At Life reserves the right to modify, suspend or discontinue the Service, in its sole discretion, at any time and without notice. You agree that Look At Life is not and will not be liable to you for any modification, suspension or discontinuance of the Service.
2. Privacy
Use of our Service is also governed by our Privacy Policy, which is incorporated into these Terms by this reference.
3. Trademarks
All brand names, services marks, trade names, logos, images and trademarks used in this Service which identify Look At Life are proprietary marks of Look At Life (“LAL Marks”). Nothing in this Service shall be deemed to confer to any person or entity any license or right with respect to any LAL Marks.
4. Copyright
Look At Life is, unless otherwise stated, the owner of all copyright and data rights in the Service and its “Content.” The term “Content” refers to all text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials that appear on this Site. Moreover, Members who have posted artistic works to the Site are either the copyright owners of that work or are posting the work under license from a copyright owner or otherwise as permitted by law. You agree not to reproduce, distribute, publicly display or perform, or prepare derivative works based on any of the Content or Services in any medium other than as permitted in these Terms or by use of functions on the Site provided by us or without the express, written consent of Look At Life or the appropriate owner of copyright in such works.

The Site may provide links to third-party websites or resources. You acknowledge and agree that links to such websites or resources do not imply any endorsement by Look At Life of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge that Look At Life is not responsible for the content, accuracy or opinions expressed on such websites, such websites are in no way investigated, monitored or checked for accuracy or completeness by Look At Life, and you assume sole responsibility for an assume all risks arising from your use of any such websites or resources.
6. Conduct
You agree that you shall not disobey any requirements, procedures, policies or regulations of any networks connected to this Service; or provide any information to Look At Life that is false or misleading, that attempts to hide your identity or that you do not have the right to disclose. Look At Life does not endorse any content placed on the Service by third parties or any opinions or advice contained in such content.
7. Indemnification
Users shall indemnify, defend and hold harmless Look at Life and its affiliates, shareholders, directors, officers, employees and agents, from any and all liability, damage, or expense (including reasonable attorneys’ fees) that may arise out of any claim or suit brought by a third party against Look At Life, arising out of your use of the Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth herein and/or if any Content that you post on the Site or through the Services causes Look At Life to be liable to another.
8. Disclaimer of Warranty and Limitation of Liability
Look at life makes no representations or warranties of any kind, express or implied as to the operation of the service, or the content or products, provided through the service. You expressly agree that your use of the service is at your sole risk. Look at life disclaims all warranties, express or implied, including without limitation, implied warranties of userability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. Look at life makes no warranty as to the security, reliability, timeliness, and performance of this service. You specifically acknowledge that look at life is not liable for your defamatory, offensive or illegal conduct, or such conduct by third parties, and you expressly assume all risks and responsibility for damages and losses arising from such conduct. Except for the express, limited remedies provided herein, and to the fullest extent allowed by law, look at life shall not be liable for any damages of any kind arising from use of the service, including but not limited to direct, indirect, incidental, consequential, special, exemplary, or punitive damages, even if look at life has been advised of the possibility of such damages. The foregoing disclaimers, waivers and limitations shall apply notwithstanding any failure of essential purpose of any limited remedy. Some jurisdictions do not allow the exclusion of or limitations on certain warranties or damages. Therefore, some of the above exclusions or limitations may not apply to you. In no event shall look at life’s aggregate liability to you exceed the amounts paid by you to look at life pursuant to this agreement.
9. Other Disclaimers
Look At Life is not responsible for any incorrect or inaccurate Content posted on the Site or in connection with the Services, whether caused by Users or by any of the equipment or programming associated with or utilized in the Services. Look At Life is not responsible for the conduct, whether online or offline, of any User of the Services. Look At Life assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User or Member communication. Look At Life is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the Internet or on any of the Services or combination thereof, including any injury or damage to Users or to any person’s computer, or a computer owned by another that the User is using, related to or resulting from participation or downloading materials in connection with the Services. Under no circumstances shall Look At Life be responsible for any loss or damage, including personal injury or death, resulting from use of the Services, attendance at a Look At Life event, from any Content posted on or through the Services, or from the conduct of any Users of the Services, whether online or offline.
10. Non-commercial Use
The Services are for the personal use of Users only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by Look At Life. Illegal and/or unauthorized use of the Services, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Site is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from Member profiles without notice and may result in termination of Membership privileges. Appropriate legal action will be taken for any illegal or unauthorized use of the Services.
11. Registration
To register as a member of the Service, you must be 18 years or lawfully permitted to enter into and form contracts under applicable law. You agree that the information that you provide to us upon registration and at all other times will be true, accurate, current and complete. You also agree that you will ensure that this information is kept accurate and up to date at all times. This is especially important with respect to your email address, since that is the primary way in which we will communicate with you about your account.
12. Password
When you register as a member you will be asked to provide a password. You are responsible for safeguarding the password and you agree not to disclose your password to any third party. You agree that you shall be solely responsible for any activities or actions under your password, whether or not you have authorized such activities or actions. You shall immediately notify Look At Life of any unauthorized use of your password.
13. Submitting Content
As a registered member of the Service, you will be granted the privilege of submitting certain types of text, files, images, photos, video, sounds, musical works, works of authorship, and other materials, collectively known as “Your Content,” for display on your user page.
14. Copyright in Your Content
You represent and warrant that: (i) you own Your Content or otherwise have the right to grant the license set forth in this section, and (ii) the posting of Your Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, trademark rights, contract rights or any other rights of any person or entity. You agree to pay for all royalties, fees, and any other monies owing any person or entity by reason of any Your Content posted by you to or through the Site.
Look At Life does not claim any ownership rights to Your Content. After posting Your Content to the Services, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose. For the sole purpose of enabling us to make Your Content available through the Service, you grant to Look At Life a non-exclusive, royalty-free license to reproduce, distribute, exploit, re-format, store, prepare derivative works based on, and publicly display and/or perform Your Content on the Site. This license will terminate at the time you remove your Content from the Services. The license does not grant Look At Life the right to sell your Content, nor does the license grant Look At Life the right to distribute your Content outside of the Services.
Please note that when you upload Your Content, third parties will be able to copy, distribute and display Your Content using readily available tools on their computers. Any use of Your Content by a third party could violate paragraph 4 of these Terms and Conditions unless the third party receives permission from you by license.
15. Monitoring Content
Look At Life does not have any obligation to monitor Your Content that you may upload, post or otherwise transmit using the Service. You acknowledge that you are solely responsible for all Your Content and material you upload, post or otherwise transmit using the Service.
16. Storage
While Look At Life presently stores Your Content online free-of-charge, we shall have no responsibility or liability for the deletion or failure to store any Content maintained on the Service and you are solely responsible for creating back-ups of Your Content. You further acknowledge that Look At Life reserves the right to modify its storage policies from time to time, with or without notice to you.
17. Conduct
You are responsible for all of Your Content you upload, download, and otherwise copy, distribute and display using the Service. You must have the legal right to copy, distribute and display all parts of any of Your Content that you upload, download and otherwise copy, distribute and display.
You agree not to use the Service:
a. in a manner inconsistent with any and all applicable laws and regulations;
b. to harm minors in any way, including, but not limited to, uploading, posting, or otherwise transmitting content that violates child pornography laws, child sexual exploitation laws or laws prohibiting the depiction of minors engaged in sexual conduct, or submitting any personally identifiable information about any child under the age of 18;
c. to upload, post, or otherwise transmit any material that is obscene, offensive, blasphemous, pornographic, unlawful, threatening, menacing, abusive, harmful, an invasion of privacy or publicity rights, defamatory, libelous, vulgar, illegal or otherwise objectionable;
d. to upload, post, or otherwise transmit any material that infringes any copyright, trademark, patent or other intellectual property right or any moral right or artist’s right of any third party including, but not limited to, Look At Life;
e. to upload, post, or otherwise transmit any material that is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
f. to upload, post, or otherwise transmit any material that exploits people in a sexual or violent manner;
g. to upload, post, or otherwise transmit any material which is likely to cause harm to Look At Life or anyone else’s computer systems, including but not limited to that which contains any virus, code, worm, data or other files or programs designed to damage or allow unauthorized access to the Service which may cause any defect, error, malfunction or corruption to the Service;
h. to upload, post, or otherwise transmit any material that promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
i. to upload, post, or otherwise transmit any material that involves the transmission of “junk mail,” “chain letters,” or unsolicited mass mailing, instant messaging, “spimming,” or “spamming;”
j. to upload, post, or otherwise transmit any material that furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses;
k. to upload, post, or otherwise transmit any material that solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
l. to upload, post, or otherwise transmit any material that includes a photograph of another person that you have posted without that person’s consent;
m. to forge headers or otherwise manipulate identifiers in order to disguise the origin of any of Your Content transmitted through the Service;
n. for any commercial purpose, except as expressly permitted under these Terms;
o. to sell access to the Service on any other website or to use the Service on another website for the primary purpose of gaining advertising or subscription revenue other than a personal blog or social network where the primary purpose is to display content from the Site by hyperlink and not to compete with Look At Life;
p. to impersonate another Member or person;
q. to interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
18. Termination of Membership and Removal of Content
Look At Life reserves the right, in its sole discretion, to, at any time, and without notice, suspend or terminate any part of the Service or terminate your membership and/or delete, reject, refuse to post or remove any of Your Content stored on the Site that in the sole judgment of Look At Life violates this Agreement or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. Look At Life nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the Member submitting any such content.
These Terms shall remain in full force and effect while you use the Services or are a Member. You may terminate your Membership at any time, for any reason, by notifying Look at Life at [-----@lookatlife.com.
19. Amendment of the Terms
We reserve the right to amend these Terms at any time in our sole discretion. If you continue to use the Service after the effective date of the revised Terms, you will be deemed to have accepted those changes. If you do not agree to the revised Terms, your sole remedy shall be to discontinue using the Service.
20. Severability
The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of any other provision herein, which shall remain in full force and effect.
21. Governing Law, Jurisdiction
These Terms shall be governed, in all respects, including validity, interpretation, and effect, by the laws of the State of New York, without giving effect to the principles of conflicts of laws thereof.
22. Arbitration
Look At Life may demand that any dispute between Look At Life and you about or involving the Services be settled by arbitration utilizing the dispute resolution procedures of the American Arbitration Association (AAA) in New York, New York, USA, provided that the foregoing shall not prevent Look At Life from seeking injunctive relief in a court of competent jurisdiction.
23. Headings
Headings of the Sections of this Agreement are for the convenience of the parties only, and shall be given no substantive or interpretive effect whatsoever.
